Terms & Conditions

These Terms and Conditions constitute a legally binding agreement between you (whether individually or representing an entity, "Client", "you", or "your") and Virtual Agency ("Agency", "we", "us", or "our"), governing access to our website (https://virtualagency.in) and the engagement of our professional services.

By contracting our agency, approving a project proposal, issuing a purchase order, paying a project retainer, or utilizing deliverables prepared by Virtual Agency, you affirm that you possess full legal authority to enter into this agreement and agree to abide strictly by these terms.

Virtual Agency delivers specialized digital growth and engineering solutions, including:

• Search Engine Optimization (SEO): Technical site audits, keyword taxonomy mapping, on-page optimization, content creation, schema markup, and editorial authority outreach.
• Paid Media Management (PPC): Setup, optimization, bidding management, and analytics attribution across Google Ads, YouTube, Meta Ads, and programmatic networks.
• Custom Web Design & UI/UX Engineering: Responsive web layout design, high-performance HTML5/CSS/Vanilla JS front-ends, custom WordPress PHP architectures, and Core Web Vitals optimization.
• Cloud Infrastructure & Hosting: LiteSpeed server configurations, SSL certificate maintenance, Redis object relays, and Cloudflare CDN caching integrations.
• Social Media Marketing & Brand Systems: Content strategy, social creative toolkits, vector brand identity design, and digital PR dissemination.

Specific deliverables, milestones, and commercial parameters are documented in individual Project Proposals or Statements of Work (SOW) executed between the Client and the Agency.

Timely and successful project completion requires active client collaboration. The Client agrees to:

• Asset Provision: Provide logos, vector graphics, brand guides, copywriting materials, and product details required for project execution in high-resolution, industry-standard digital formats.
• System Access: Grant necessary administrative credentials (e.g., Google Search Console, Google Analytics, Google Tag Manager, ad accounts, domain DNS records, or hosting cPanel access) in a timely manner.
• Feedback & Approval Milestones: Review design wireframes, development staging URLs, and campaign briefs within five (5) business days of submission. Unreasonable delays in feedback may cause project timeline adjustments.
• Legal Right to Materials: Ensure that all materials, imagery, and text provided to Virtual Agency do not infringe upon any third-party intellectual property or copyright.

Project estimated timelines are formulated in good faith based on our engineering sprint methodologies. While we commit maximum technical rigor to meet estimated completion dates:

• Delivery dates are contingent upon prompt client approvals and the timely receipt of third-party assets.
• Delays resulting from third-party service provider outages (e.g., DNS propagation delays, Google ad review wait periods, hosting server maintenance) do not constitute a breach of contract by Virtual Agency.

All financial terms are defined in your specific proposal. The standard commercial rules outlined below apply:

• Currency & Taxes: Fees are quoted in Indian Rupees (INR) or US Dollars (USD) as agreed. Applicable Goods and Services Tax (GST) or international taxes are added to taxable invoices.
• Web Development Milestones: Standard web development contracts require a 50% mobilization advance prior to sprint initiation, with milestone installments and final balance payment due prior to production server deployment.
• Monthly Marketing Retainers: SEO, PPC, and SMM retainers are billed at the beginning of each billing cycle and are payable within seven (7) calendar days of invoice receipt.
• Late Payments: Accounts overdue by more than fourteen (14) days may incur a 1.5% monthly late interest fee, and active marketing management or staging servers may be paused until settlement.

The following caveats apply to intellectual property:

• Agency Proprietary Assets: Virtual Agency retains ownership over pre-existing coding libraries, framework scaffolding, automation scripts, proprietary internal methodologies, and reusable UI tokens used to assemble deliverables. The Client is granted a perpetual, royalty-free license to use these assets within the completed deliverable.
• Third-Party Components: Open-source components (e.g., WordPress core, PHP modules, Three.js, Lucide icons, fonts) remain governed by their respective open-source licenses (MIT, GNU GPL, Apache).
• Portfolio Showcase Rights: Unless explicitly restricted via a signed Non-Disclosure Agreement (NDA), Virtual Agency reserves the right to display completed project screenshots, design mockups, and performance case studies in our agency portfolio and marketing materials.

To balance creative excellence with strict timeline control, our project scopes include defined revision phases:

• Standard Revisions: Unless otherwise specified in the SOW, each design phase includes two (2) consolidated rounds of client feedback and refinements prior to technical sign-off.
• Scope Creep & Change Orders: Feature additions, structural redesigns, or functionality changes requested after milestone sign-off are treated as Change Orders. These will be estimated separately at our standard hourly or milestone engineering rates.

When Virtual Agency manages paid campaigns across Google Ads, Meta Ads, or other advertising networks:

• Direct Media Spend: All advertising media spend is billed directly by the ad network (Google, Meta, etc.) to the Client's registered payment method, unless explicitly organized via a managed credit arrangement.
• Platform Policy Discretion: Ad networks maintain independent automated policy review algorithms. While our campaigns adhere to strict compliance best practices, Virtual Agency is not liable for account suspensions or ad disapprovals caused by external platform policy changes.

Virtual Agency employs advanced, data-backed optimization protocols designed to maximize visibility and revenue. However, you acknowledge the following industry realities:

• No Search Engine Guarantee: Google and other search engines frequently modify crawling and ranking algorithms. No agency can guarantee a permanent #1 position on organic search result pages. Anyone guaranteeing specific #1 positions is engaging in misleading marketing.
• Third-Party Actions: Organic visibility is subject to competitor activity, market conditions, and search platform algorithmic updates beyond any agency's unilateral control.
• Revenue Projections: ROI forecasts and simulator figures are estimations based on historical benchmarks and do not constitute guaranteed financial outcomes.

Both parties agree that any proprietary business data, trade secrets, customer databases, technical architectures, or commercial figures shared during the business relationship will remain strictly confidential and will not be disclosed to any unauthorized third party without prior written consent.

To the maximum extent permitted under applicable law:

• Virtual Agency, its directors, developers, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data corruption, or business interruption.
• The Agency's total aggregate liability arising out of or related to any service contract shall not exceed the total fees paid by the Client to Virtual Agency for the specific deliverable giving rise to the claim during the preceding three (3) months.
• The Client agrees to indemnify and hold harmless Virtual Agency against any third-party claims or damages resulting from copyright infringement in materials supplied by the Client or unauthorized modifications made to code by the Client's internal teams after delivery.

Service agreements may be concluded under the following standard procedures:

• Monthly Retainer Termination: Either party may terminate a monthly marketing engagement by providing thirty (30) days' written notice to info@virtualagency.in. Active deliverables and fees during the notice period remain billable.
• Fixed-Price Project Cancellation: If a milestone web development project is terminated by the Client prior to completion, the Client remains liable for work completed up to the date of cancellation, and mobilization deposits remain non-refundable to offset allocated engineering hours.
• Termination for Breach: Either party may terminate immediately if the other party commits a material breach and fails to remedy the breach within fourteen (14) calendar days of written notification.

These Terms and Conditions and any disputes arising out of or in connection with our services shall be governed by and construed in accordance with the substantive laws of India.

The parties agree to attempt good-faith informal negotiations for a minimum of thirty (30) days prior to initiating formal litigation. In the event informal resolution fails, the competent courts located in New Delhi, India shall possess exclusive jurisdiction over any legal proceedings.
